Gigs Agreement
CoHub Pty Ltd (ACN 701 652 557, ABN 88 701 652 557) — the agreement formed for each hired Task on CoHub Gigs. Market: Australia (national). Last updated 6 September 2026.
This is a fourth document governing the CoHub Platform, alongside the Platform Terms of Service (governing each User’s relationship with CoHub), the Host Licence Agreement (governing each Booking between a Host and a Member), and the Privacy Policy. This Gigs Agreement governs the direct engagement formed between a Poster and a Worker for a specific Task on CoHub Gigs — the equivalent, on the CoHub Gigs side of the Platform, of the Host Licence Agreement on the space-booking side.
Schedule 1 below records the details specific to each Task, compiled from the Task and the hired Application at the time a Poster hires a Worker. Sections 1–13 are the fixed legal terms that apply to every Task. Together, a completed Schedule 1 plus Sections 1–13 make up the Agreement between the Poster and the Worker for that Task.
Schedule 1 — Task Details
This Schedule is compiled from the Task and the hired Application at the time the Poster hires the Worker on the Platform, forming part of this Agreement. Fields marked with an example are populated per Task; all other terms are fixed for every Task of this type.

1. Parties and Formation
This Gigs Agreement (“Agreement”) is between the Poster and the Worker named in Schedule 1.
This Agreement is formed electronically, without a wet signature, at the moment the Poster hires the Worker for the Task — that is, when CoHub authorises payment of the agreed price under the Platform Terms of Service, Section 6A. The hire confirmation, this Agreement, and the Task listing (including its description and scope) together record its terms.
CoHub is not a party to this Agreement. CoHub facilitates the engagement through the Platform and processes payment via Stripe Connect, but the engagement described in this Agreement is between the Poster and the Worker directly. Section 12 sets out CoHub’s role in more detail.
This Agreement should be read together with the Task listing, the CoHub Platform Terms of Service, the Privacy Policy, and any category-specific rules issued by CoHub from time to time. To the extent there is an inconsistency, the order of priority is: mandatory law, Schedule 1, this Agreement, the Task listing and description, then the Platform Terms of Service, except that CoHub’s own rights, fees, platform powers, privacy handling and liability limits remain governed by the Platform Terms of Service and Privacy Policy.
Each hired Task constitutes a direct agreement between the Poster and the Worker, incorporating the Task’s description and scope, CoHub’s standard Gigs terms, and this Gigs Agreement. CoHub acts solely as a facilitator and is not a party to the Poster–Worker contract.
2. Engagement of Worker
The Poster engages the Worker, and the Worker agrees, to perform the Task described in Schedule 1, for the agreed price stated in Schedule 1, within any target completion date stated in Schedule 1, and subject to this Agreement and the Task description.
This is an engagement of an independent contractor, not an offer of employment. It does not create the relationship of employer and employee, and is not intended to give rise to any entitlement to leave, notice, redundancy pay, or other employment entitlement. The Poster and the Worker are responsible for correctly characterising their own working relationship under Australian law — including the Fair Work Act’s sham-contracting provisions and superannuation guarantee obligations that can apply to individuals engaged principally for their labour. CoHub does not provide legal, tax or employment advice on this question.
Unless the Task description says otherwise, the Worker decides how the Task is performed — including their own hours, methods, tools, equipment and, where relevant, whether to use their own subcontractors — provided the agreed scope, any target completion date, and any safety or access rules that apply to the Poster’s premises are met.
3. Scope of the Task
- The Worker must perform only the Task described in Schedule 1, and must not perform additional work outside that scope without the Poster and Worker first agreeing a revised price through the Platform.
- The Poster must not ask the Worker to perform work outside the agreed scope, or perform any work for any unlawful purpose.
- The Worker must not perform the Task for any unlawful purpose, and must hold any trade licence, qualification, permit, working-with-children check or other authorisation the Task requires, as stated in Schedule 1 or required by law.
- Neither party may use the Task to disguise what is, in substance, an offer of ongoing employment rather than a defined piece of contract work.
- For higher-risk, regulated, on-site or public-facing work, the Worker must hold all required licences, permits, risk controls and insurances before starting, and the Poster must ensure the premises and any equipment provided are lawful and safe for that work.
- The Worker must not subcontract the Task to another person without the Poster’s consent through the Platform, unless the Task description expressly allows it.
4. Access to the Poster’s Premises
Where the Task is to be performed at the Poster’s premises, the Poster must provide the Worker with reasonable access to those premises, and to any information, materials or equipment reasonably needed to perform the Task, from the start of the agreed period.
If the Poster fails to provide reasonable access or the information, materials or equipment needed to start the Task, the Worker may decline to proceed without breaching this Agreement, and may raise the issue with CoHub under Section 12.
Where the Task is performed at the Worker’s own premises or remotely, this section does not apply, and the Worker is responsible for their own working environment under Section 7.
5. Fees and Payment
When the Poster hires the Worker, CoHub authorises payment of the agreed price on the Poster’s payment method but does not capture (charge) it yet. When the Poster confirms the Task is complete, CoHub captures the authorised payment, and the Worker is paid out the agreed price less the CoHub Gig Fee shown in Schedule 1, through CoHub’s payments provider (currently Stripe, via Stripe Connect), under the terms of the Platform Terms of Service.
The Poster pays exactly the agreed price shown in Schedule 1 — no separate fee is added at hire. Unless stated otherwise, all amounts must clearly state whether GST is included or excluded. Each party is responsible for its own tax, GST registration, invoicing and reporting obligations. CoHub may issue receipts or other transaction records through the Platform where supported, but does not provide tax advice to Posters or Workers.
The Poster and Worker must not arrange payment for this Task outside the Platform in order to avoid the Gig Fee.
6. Poster Obligations
- Provide a Task description that accurately describes the work, location, budget and any licence, qualification or insurance requirement.
- Where the Task is performed at the Poster’s premises, provide a reasonably safe environment for that work, consistent with the Poster’s work health and safety obligations, and promptly notify the Worker and CoHub of any material safety hazard affecting the Task.
- Provide the access, information, materials and equipment reasonably needed for the Worker to perform the Task, as described in Schedule 1 or the Task description.
- Act reasonably and in good faith when deciding whether the Task has been completed as agreed, and not unreasonably withhold or delay confirming completion once the Worker has genuinely finished the agreed scope.
- Not require the Worker to perform work outside the agreed scope, or unlawfully, or without a licence, permit or insurance the work requires.
- Not unreasonably interfere with the Worker’s performance of the Task.
7. Worker Obligations
- Perform the Task with reasonable care and skill, consistent with the agreed scope and, where relevant, the standard reasonably expected of a competent person doing that kind of work.
- Hold, and provide evidence on request of, any trade licence, qualification, permit, working-with-children check or insurance the Task requires.
- Provide their own tools, equipment and materials unless the Task description says the Poster will provide them.
- Perform the Task within any target completion date stated in Schedule 1, and tell the Poster promptly if a delay or problem arises.
- Where the Task is performed at the Poster’s premises, comply with reasonable safety directions and any site rules that apply.
- Where the Task is performed at the Worker’s own premises or remotely, provide their own safe working environment.
- Keep confidential any non-public business information of the Poster’s the Worker learns while performing the Task, and use it only for performing the Task.
- Not cause damage or a breach of any law while performing the Task.
8. Damage and Liability Between Poster and Worker
The Worker is liable to the Poster for loss or damage caused by the Worker’s negligence, defective work, or breach of this Agreement while performing the Task, beyond fair wear and tear.
The Poster is responsible for the safety and lawful condition of any premises or equipment it provides for the Task, and for loss or damage to the Worker caused by a defect in, or an unsafe condition of, those premises or equipment, except to the extent the Worker caused or contributed to it.
Neither party is liable to the other for indirect or consequential loss arising from this Agreement.
Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, statutory guarantee, liability for death or personal injury caused by negligence, liability for fraud or wilful misconduct, or any other right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law. Any limitation or exclusion in this Agreement applies only to the maximum extent permitted by law.
This clause governs the relationship between the Poster and the Worker only. It does not affect, and is not affected by, the separate limitation of CoHub’s own liability set out in the Platform Terms of Service — CoHub is not liable for loss or damage arising between a Poster and a Worker under this Agreement.
9. Insurance
- Worker: is responsible for holding insurance appropriate to the work taken on — such as public liability, professional indemnity, or tools-of-trade cover — as an independent contractor would ordinarily be expected to hold for that kind of work, and for ensuring that insurance covers the Task.
- Poster: is responsible for their own premises and equipment insurance where the Task is performed at the Poster’s premises, and is encouraged to hold public liability insurance where the Worker or other third parties may be present.
- For higher-risk categories — including Construction & Trades and Hospitality & Events — CoHub may require evidence of the Worker’s licence, qualification or insurance before the Task proceeds.
- CoHub does not provide insurance for Posters or Workers and is not a party to, or guarantor of, any insurance policy a User holds.
10. Cancellation
The Poster may cancel this Task at any time before it is marked complete, through the Platform. If no Worker had been hired yet, cancelling is free and nothing has been charged. Once a Worker has been hired, cancelling releases the authorised payment without charging the Poster or paying the Worker — because the payment was only authorised, not captured, there is nothing to refund. CoHub will notify the Worker if the Poster cancels after hiring them. Unlike the 48-hour cancellation window that applies to space Bookings, there is currently no minimum-notice rule for cancelling a Task before it is marked complete.
Where a Worker has already started or substantially performed the Task before the Poster cancels, either party may raise this with CoHub instead of accepting the all-or-nothing outcome above — see Section 10A, which sets out how CoHub can record an agreed partial release of the authorised payment.
If a Poster cancels after the Worker has started the Task, the Worker may raise this with CoHub support under Section 12; CoHub may, at its discretion, help the parties reach a fair outcome but is not obliged to and does not guarantee any particular result.
Either party may end this Agreement early, by notice given through the Platform, for the other party’s material breach of this Agreement — for example, unsafe conduct, unlawful work, material misrepresentation, refusal of lawful access, or conduct that exposes another party or CoHub to regulatory, safety, or reputational risk. Ending this Agreement early does not, by itself, change any payment position already determined under this section, but CoHub may facilitate or require a resolution where the Platform Terms of Service permit it or where required by law.
10A. Dispute Resolution — Agreed Partial Release
Where the Poster and Worker cannot agree between themselves that the Task has been completed to the agreed scope, either party may raise the disagreement with CoHub under Section 12, provided the Task has been hired (payment authorised) and that payment has not yet been captured or the authorisation otherwise released — that is, before the Poster has confirmed completion or the Task has been cancelled under Section 10.
If the Poster and Worker reach agreement between themselves on what percentage of the agreed price fairly reflects the work actually performed, and both parties confirm that agreement to CoHub, an admin may record that agreed percentage on the Platform and release payment accordingly:
- CoHub captures the agreed percentage of the authorised price as the Worker’s payout, less the CoHub Gig Fee calculated on that amount; the remaining, uncaptured portion of the authorisation is released back to the Poster automatically — because it was never captured, there is nothing to separately refund.
- An agreed outcome of 0% cancels the authorisation in full: the Worker receives nothing and the Poster is not charged.
- An agreed outcome of 100% captures the full agreed price, the same as if the Poster had confirmed the Task complete.
- CoHub notifies both parties once an outcome is recorded.
This mechanism applies only while payment for the Task remains authorised but not yet captured. It does not reverse a payment already paid out to a Worker following the Poster’s confirmation of completion, and it does not reopen a Task already cancelled and released under Section 10 — CoHub may consider extending this mechanism to those situations in future.
CoHub may decline to record an outcome, or ask for further information, where it reasonably considers the parties’ agreement unclear, disputed, or improperly obtained. Recording an agreed outcome under this section is a discretionary platform-administration step, not mediation, arbitration or a legal determination of the dispute — CoHub is not obliged to resolve a dispute the parties cannot agree on themselves, and doing so does not make CoHub a party to, or a guarantor of, the Poster–Worker Agreement.
11. Term and Completion
This Agreement begins when the Poster hires the Worker and ends when the Poster confirms the Task is complete and payment is released, when the Task is cancelled under Section 10, or when either party ends it early under Section 10.
This Agreement does not create any ongoing engagement, retainer, or exclusivity between the Poster and the Worker. Either party is free to post, apply for, or accept other Tasks with other Users at any time.
12. CoHub’s Role
CoHub is not a party to this Agreement and does not guarantee either party’s performance of it. CoHub’s own liability to the Poster or the Worker is governed solely by the Platform Terms of Service, not by this Agreement.
CoHub may help the Poster and the Worker resolve a dispute about this Agreement — for example, through Platform messaging or support — but is not obliged to, and is not responsible for the outcome of, any such dispute. Where the dispute concerns payment for a Task that has been hired but not yet completed or cancelled, Section 10A sets out how CoHub may record an agreed partial release of the authorised payment.
CoHub does not verify trade or professional qualifications, licences or insurance beyond the identity verification described in the Platform Terms of Service, unless it expressly says otherwise for a specific Task category. Posters remain responsible for deciding whether a Worker is suitable for the Task, and Workers remain responsible for holding the licences, qualifications and insurance their work requires.
CoHub may take reasonable platform-protection steps, including withholding or reversing authorisations, facilitating a resolution, suspending accounts or Tasks, removing unsafe or misleading content, escalating urgent safety issues, cooperating with lawful regulator requests, and sharing Task information between the Poster and Worker where reasonably necessary to administer the Task, manage safety, prevent fraud, resolve disputes or comply with law. CoHub must handle personal information in accordance with its Privacy Policy.
CoHub may set and enforce Community Standards, Poster Standards, Worker Standards, content rules, Task rules, review rules and safety policies. CoHub may remove or restrict Tasks, accounts, reviews, messages, profiles or other content, restrict access to features, suspend participation, cancel Tasks or require corrective action where CoHub reasonably considers this necessary to protect users, the Platform, property, reputation, safety, legal compliance or trust in the marketplace.
Posters and Workers remain responsible for all content they provide or publish through the Platform, including Task descriptions, applications, messages, photographs and reviews. Each user must have the rights needed to publish that content and must not misrepresent affiliation, endorsement, accreditation, availability, qualifications, insurance, legal compliance or CoHub approval.
The Platform may use third-party services for payments, identity verification, messaging, analytics, storage, customer support, and other functionality. Use of those services may be subject to separate third-party terms and privacy practices. CoHub is not responsible for third-party service availability, failures, delays, chargebacks, account holds or compliance requirements except to the extent required by law or expressly stated in CoHub’s Platform Terms of Service.
CoHub may require additional terms for specific Task categories, including category-specific declarations, insurance schedules, acceptable-use rules, content policies, and data-processing terms. If additional terms apply, they must be accepted before the relevant Task proceeds.
13. General
- Entire agreement: this Agreement, Schedule 1, and the Task description are the entire agreement between the Poster and the Worker about the Task.
- Governing law: this Agreement is governed by the laws of New South Wales, Australia (CoHub Pty Ltd’s state of registration), and the Poster and Worker submit to the non-exclusive jurisdiction of the courts of that place.
- Notices: notices under this Agreement may be given through Platform messaging or to the contact details either party has on file with CoHub. CoHub Pty Ltd (ACN 701 652 557, ABN 88 701 652 557) has its registered office at Suite 9, 39 Stanley Street, Bankstown NSW 2200, Australia.
- Severability: if a provision of this Agreement is found unenforceable, the rest of the Agreement continues to apply.
- No partnership or employment: nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the Poster and the Worker.
- Ethical conduct and non-discrimination: the Poster and Worker must act honestly, respectfully and in good faith, must not engage in misleading, deceptive, harassing, abusive, discriminatory, exploitative or unsafe conduct, and must comply with applicable anti-discrimination, modern slavery, privacy, sanctions, anti-bribery and fair-trading laws.
- Dispute escalation: the Poster and Worker should first try to resolve any issue promptly and in good faith through the Platform. If unresolved, either party may ask CoHub support to assist. CoHub may request evidence, make a platform administration decision about payment where permitted by the Platform Terms of Service, and may direct the parties to mediation, tribunal, court or regulator processes where appropriate.
